Terms of Service

Effective 17 September 2026

These Terms of Service ("Terms") are an agreement between you and Arcada LLC, a New Mexico limited liability company (Business ID 7682190), with its address at 1209 Mountain Road Pl NE, Ste R, Albuquerque, NM 87110, USA ("Arcada", "we", "us"). They govern your use of the Subtl desktop and mobile applications, the website subtl.me, the account cabinet at app.subtl.me and the related APIs (together, "Subtl" or the "Service").

By creating an account, installing an application or paying for a plan, you accept these Terms. If you do not accept them, do not use the Service. If you use Subtl on behalf of a company, you confirm that you may bind it, and "you" includes that company.

They are written to be read. Where a clause limits what you may do or what we owe you, it says so in plain words.

1. The Service

Subtl transcribes the speech of a call, translates it, suggests possible replies, and prepares a summary afterwards. The audio is captured by the application on your own device — from sound your device is already playing and from your microphone — under your control. No bot joins the call and the meeting platform is not modified.

Parts of the processing run on your device; parts are performed by us and by the providers listed on the Subprocessors page. Some features depend on the plan, on the platform, and on the processing mode you choose, and may change as the product develops.

2. Eligibility and accounts

  • You must be at least 18 years old and able to enter into a binding contract.
  • You may not use Subtl if you are located in, or ordinarily resident in, a country or region subject to comprehensive United States sanctions, or if you are on a US government restricted-party list.
  • You sign in with an email code, Google or Apple. Keep access to that email or account secure; you are responsible for activity under your account.
  • One account belongs to one person. Accounts may not be shared, resold or used by automated means.
  • Give accurate information and keep your email address current, because notices and sign-in codes are sent to it.

3. Your responsibility for the other participants

Laws on recording, intercepting and processing conversations differ between countries and, in the United States and Australia, between states. Some require every participant's consent or at least clear notice. A summary for many jurisdictions is on the Legality page; it is general information, not legal advice.

You are solely responsible for determining whether your use of Subtl in a particular conversation is lawful and for informing participants or obtaining their consent where the applicable rules require it. Subtl does not record audio by default and does not store call audio on our servers, but that does not by itself make any particular use lawful where you or the other participants are.

You also warrant that your use complies with the rules of any platform, employer, client, examination body or professional code that binds you.

4. Acceptable use

You agree not to use Subtl to:

  • cheat in, or obtain assistance that is prohibited during, an examination, certification, assessment, competition, or an interview whose rules forbid assistance;
  • capture or process a conversation you are not a participant in, or conduct surveillance of another person;
  • violate privacy, data-protection, wiretapping, consumer-protection or other laws, or infringe anyone's rights;
  • harass, defraud, impersonate or deceive anyone, or generate unlawful content;
  • reverse engineer, decompile or circumvent usage limits, security or licensing of the Service, except to the extent the law expressly permits it;
  • resell, sublicense or provide the Service to third parties, or build a competing product using it;
  • overload, probe or disrupt the Service, or access it by automated means other than the interfaces we provide.

5. AI output

Transcriptions, translations, suggested replies and summaries ("Output") are generated automatically by machine-learning models. Output can be inaccurate, incomplete, out of context or inappropriate, including in names, numbers and legal or technical terms. We do not guarantee the accuracy of Output in any language.

Output is informational. It is not legal, medical, financial, tax or immigration advice. You decide what to say and do, and you are responsible for checking Output before relying on it, particularly where a mistake could harm you or others.

Between you and us, you own your input and the Output generated for you, to the extent any rights exist in them. We do not use your call content to train models, and our model providers process it under terms that do not allow them to train on it.

6. Your content and our licence to process it

"Your Content" is the audio your device streams, the transcripts, the context files and presets you create, and the messages you send us. You keep all rights in it. You grant us a limited, worldwide licence to host, process and transmit Your Content only to provide, secure and support the Service for you, as described in the Privacy Policy.

You confirm that you have the rights needed to upload context files and that doing so does not breach anyone's confidentiality or intellectual-property rights.

7. Plans, subscriptions and payment

  • The free plan includes a monthly allowance of minutes stated on the pricing page. Paid plans are billed in advance, monthly or yearly, in US dollars, and renew automatically at the end of each period until cancelled.
  • The seller is Arcada LLC. Payments are processed by Stripe; we never receive your full card details. Applicable taxes are calculated and shown at checkout.
  • You can cancel at any time in the cabinet or the billing portal. Cancellation stops the next renewal; access continues until the end of the period already paid for.
  • Upgrades take effect immediately and are prorated by Stripe. Downgrades take effect from the next billing period.
  • Minutes that are not used within a billing period do not carry over, except bonus minutes granted by a promotion, which remain until used or until the promotion says otherwise.
  • If a payment fails, we may retry it and, after notice, move the account to the free plan.
  • Promotional codes and granted plans have the value and duration stated when they are issued, have no cash value, cannot be transferred, and may be withdrawn if obtained in breach of these Terms.

8. No refunds

All payments are final and non-refundable, except where a refund is required by applicable law.

Consumers in the European Union, the European Economic Area and the United Kingdom have a statutory right to withdraw from a contract for digital services within 14 days. At checkout we ask you to request that the subscription start immediately and to acknowledge that you lose the right of withdrawal once the service has been fully provided. Where the law still gives you a right to withdraw, you may exercise it by writing to hello@subtl.me within that period, and any amount due back to you is refunded to the original payment method.

Purchases made through the Apple App Store or Google Play are billed by those stores and refunded, if at all, under their own rules.

9. Limits and fair use

  • Minutes per billing period as stated by your plan.
  • Up to five devices per account and up to two sessions running at the same time.
  • Plans described as unlimited are subject to fair use of up to 100 hours of processing per month per account.
  • We may suspend processing that threatens the stability or security of the Service, with notice where practical.

10. Your own AI provider keys

On plans that use your own provider key, the key is stored in your device's system keychain. When a request is routed through our server, the key is decrypted in memory for that request only, and is not logged or stored in readable form.

Your use of that provider is governed by the provider's terms, and you pay the provider directly. We are not responsible for the provider's availability, pricing or handling of data.

11. Changes to prices, the Service and these Terms

We may change prices with at least 30 days' notice by email or in the cabinet. A new price applies from your next renewal after the notice period; if you do not agree, cancel before then.

We improve the Service continually and may add, change or remove features. If we remove a material feature of a paid plan, you may cancel and, where the law requires, receive a proportionate refund.

We may update these Terms. Material changes are announced at least 30 days before they take effect, by email or in the Service. Continuing to use Subtl after that date means you accept the updated Terms.

12. Suspension and termination

You may stop using Subtl and delete your account at any time from the cabinet.

We may suspend or terminate your access, with notice where the circumstances allow, if you materially breach these Terms, if required by law, or to prevent harm to the Service, to other users or to third parties. If we terminate for reasons other than your breach, we refund the unused part of a prepaid period.

Sections that by their nature should survive termination — including responsibility for use, disclaimers, limitation of liability, indemnity and disputes — survive it.

13. Intellectual property

The Service, the applications, the Subtl name and logo, and all related software and materials are owned by Arcada or its licensors and are protected by intellectual-property laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the applications for as long as you have an account, in accordance with these Terms.

If you send us feedback or suggestions, we may use them without any obligation to you.

14. Third-party services

Subtl works alongside meeting platforms and relies on third-party providers for payments, sign-in, hosting and model processing. Those services are governed by their own terms, and we are not responsible for them. Using Subtl does not change your obligations to the platforms you call on.

15. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. Nothing in these Terms excludes warranties or rights that cannot be excluded under the law that applies to you as a consumer.

16. Limitation of liability

To the maximum extent permitted by law, Arcada is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity, arising from or related to the Service, including decisions made on the basis of Output.

Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or US$50.

These limits do not apply to liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, or for fraud.

17. Indemnity

To the extent permitted by law, you will defend and indemnify Arcada against third-party claims, losses and reasonable costs arising from your breach of these Terms or from your unlawful use of Subtl, including processing a conversation without a consent or notice that the law required of you.

18. Governing law and disputes

These Terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before starting any proceeding, write to info@arcadallc.com and give us 30 days to try to resolve the matter informally. If it is not resolved, the state and federal courts located in Bernalillo County, New Mexico have exclusive jurisdiction, and both parties consent to it.

If you are a consumer living in the European Union, the United Kingdom or another country whose law gives you mandatory protections or the right to bring proceedings in your local courts, nothing in this section removes those protections or that right. The European Commission's online dispute resolution information is available at ec.europa.eu/consumers/odr.

19. General

  • These Terms, the Privacy Policy and any terms shown at checkout are the entire agreement between you and us about the Service.
  • If a provision is found unenforceable, the rest remains in effect, and the provision is applied to the maximum extent permitted.
  • Failing to enforce a provision is not a waiver of it.
  • You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets, with notice to you.
  • Neither party is liable for delays caused by events beyond its reasonable control.
  • We give notices by email to your account address or in the Service; you give notices to the addresses below.
  • These Terms are written in English. Translations are provided for convenience; if they differ, the English version prevails, except where the law requires otherwise.
